TITLE: Approve the Contract Terms Acknowledgement Agreement Between Vigilant Solutions, LLC and the City of North Port for License Plate Reader Software and Components.
Recommended Action
Approve the Contract Terms Acknowledgement Agreement between Vigilant Solutions, LLC and the City of North Port.
Background Information
The North Port Police Department utilizes License Plate Readers (LPRs) throughout the City. These LPRs use software and components from Vigilant Solutions, LLC, which is a wholly owned subsidiary of Motorola Solutions, Inc.
In order for the North Port Police Department to continue purchasing Vigilant items, Motorola is requesting the execution of the Contract Terms Acknowledgement page. The Contract Terms Acknowledgement document references and incorporates the Master Customer Agreement (MCA) which is also attached for review. The executed Agreement is only needed once for the initial account set up. It will be saved on file with Motorola so going forward it can be applied to any order the North Port Police Department submits.
The attached Contract Terms Acknowledgement Agreement between Vigilant Solutions, LLC and the City of North Port has been reviewed by the City Attorney and is legally correct as to form.

Financial Impact
There is no direct financial impact by executing this Agreement. The financial impact will come from purchases being made for Vigilant products. Purchases will come from approved budgeted funds of the Police Department budget. The estimated expenditure for the current fiscal year is approximately $12,660.00 from budgeted funds in account 001-2100-521-52-50. Purchases in future fiscal years will be dependent on the budget approval.
