Recommended Action
Approve the termination of the Order Form and End User License Agreement with Legal Files Software, Inc. for case management Software for the City Attorney's Office and authorize the City Attorney to terminate same.
Background Information
Effective February 23, 2015, the City and Legal Files Software, Inc. entered into a contract consisting of an Order Form with an End User License Agreement and Services Description attached as exhibits. This contract provided for the implementation and use of Legal Files case management software for the City Attorney's Office. After the initial licensing and implementation of the software, the contract provided for an annual charge for maintenance and support.
In September 2020, the City Attorney's Office launched new software with enhanced and additional features to replace the Legal Files software. Currently, the City Attorney's Office accesses Legal Files software to evaluate and address migration issues related to the software conversion. Upon the conclusion of the paid annual plan, the City Attorney's Office will no longer require maintenance and support on the Legal Files software.
The City's current annual plan for maintenance and support is paid through March 19, 2021.

The last invoice for the annual maintenance and support was $2,018.00 (March 20, 2020 through March 19, 2021). This item is budgeted for $2,100.00 in the current fiscal year in account 00-0710-516-46-01.
