Recommended Action
Approve Motorola Solutions Customer Agreement and Addenda, Ordering Documents, and Contract Terms Acknowledgement with Vigilant Solutions, LLC for Motorola License Plate Reader (LPR) products and services.
Background Information
The North Port Police Department utilizes License Plate Readers (LPRs) throughout the City. These LPRs use software and components purchased from Vigilant Solutions, LLC (Vigilant), which is a wholly owned subsidiary of Motorola Solutions, Inc. (Motorola).
Motorola is requesting the re-execution of the Contract Terms Acknowledgement because of revisions made to its Master Customer Agreement (MCA). The Ordering Documents referenced in the Acknowledgement are the quotes and supporting documentation prepared by Vigilant at the time of a request for quote. The City does not currently have any Ordering Documents with Vigilant.
The Acknowledgement will be saved on file with Motorola and will apply to any purchases made for Vigilant products by the City of North Port. The Acknowledgement is required in order to continue purchasing from Vigilant Solutions, LLC.
The Contract Terms Acknowledgement together with the Master Customer Agreement have been reviewed by the City Attorney and are legally correct as to form.

Financial Impact
There is no direct financial impact by executing this Agreement. The financial impact will occur when purchases are made for Vigilant products from approved police department budgeted funds.
