Recommended Action

Approve First Amendment to the NetDocuments Software as a Service Agreement, Amending the Date of the Renewal Term to Coincide with the Start of the City’s Fiscal Year at No Additional Cost to the City

Background Information

On August 1, 2020, the City entered into the NetDocuments Order Form and Software as a Service Agreement, pursuant to the City Commission’s approval on July 28, 2020. NetDocuments provides cloud-based document management services for the City Attorney’s Office at an annual cost of $900 per user.

This First Amendment to the NetDocuments Software as a Service Agreement makes only one change to the original contract; it establishes the timing of the annual renewal term to occur each October 1 to coincide with the start of the City’s Fiscal Year, rather than on the anniversary of the original contract each August 1. The City Attorney’s Office requested this amendment to better align the annual payment for accounting purposes.

The City Attorney’s Office has reviewed this contract for form and correctness.
