TITLE: Approve the Support and Software Services License Agreement and Contract Amendment No. 1 from KeyTrak, Inc. (KTI).


Recommended Action

Approve the Support and Software Services License Agreement and Contract Amendment No. 1 from KeyTrak, Inc. (KTI).

Background Information

In 2016, the Fleet Management Division of the Department of Public Works coordinated the purchase of an electronic key security system, enabling keys for vehicles and equipment to be available 24/7 through a system that requires an electronic sign-in by the City of North Port Police Department. The system ensures only the key(s) designated to be used are available for an approved individual. This system also provides reporting and 24/7 monitoring with alerts to key managerial personnel and accountability of the assets by the user.

KTI will provide software support for all problems or questions with the KTI software licensed to the City of North Port for the existing equipment. The City of North Port shall receive all generally released modifications/enhancements and applicable documentation during the Term of this Agreement.

KTI will maintain the equipment and perform Remedial Maintenance Services during the term of this Agreement as necessary.

The Agreement has been revised through the addition of the Contract Amendment No. 1. The Amendment permits the City to terminate the Agreement with or without cause after providing the vendor with thirty (30) days' notice. The vendor's annual fee is nonrefundable, and a prorated refund will not be provided for any portion of the term remaining following termination of the Agreement.

The City Attorney has reviewed the Support and Software Services, License Agreement and Contract Amendment No. 1 from KTI as to form and content.

The term of this Agreement shall be one year from the date of signature.
