Recommended Action
Option 1: Approve and authorize the City Manager to execute the First Amendment to Construction Manager at Risk Contract No. 2025-09 for Construction Services Contract Phase II, with Wharton-Smith Inc. for Project No. WM19BR, Warm Mineral Springs Park historic renovation, floodproofing and site improvements, located at 12200 San Servando Avenue, North Port, Florida, 34287 in the amount not to exceed $16,281,229.00.

Option 1: Approve and authorize the City Manager to execute the First Amendment to Construction Manager at Risk Contract No. 2025-09 for Construction Services Contract Phase II, with Wharton-Smith Inc. for Project No. WM19BR, Warm Mineral Springs Park historic renovation, floodproofing and site improvements, located at 12200 San Servando Avenue, North Port, Florida, 34287 in the amount not to exceed $16,281,229.00.
• Pros:
o Advances the building renovation direction previously approved by the City Commission.
o Facilitates improvements that preserve the property’s historic designation.
o Supports the long‑term revitalization goals established in the 2019 Warm Mineral Springs Park Master Plan while positioning the site for future opportunities by completing foundational improvements needed for broader activation of the property.
o Enhances visitor experience by upgrading outdated facilities, improving accessibility, and creating safer, more functional park infrastructure.
o Aligns with the Construction Manager at Risk (CMAR) contract structure, which expressly contemplates a two-phase delivery method and requires later phases to be authorized by written amendment.
• Cons:
o Commits the City to the Phase II construction services in an amount not to exceed $16,281,229.00.
Option 2: Deny the execution of the First Amendment to Construction Manager at Risk Contract No. 2025-09 for Construction Services Contract Phase II, with Wharton-Smith Inc. for Project No. WM19BR, Warm Mineral Springs Park historic renovation, floodproofing and site improvements, located at 12200 San Servando Avenue, North Port, Florida, 34287 in the amount not to exceed $16,281,229.00.
• Pros:
o Avoids immediate commitment of the Phase II construction amount.
• Cons:
o Delays implementation of previously directed Warm Mineral Springs Park building renovation work.
o Postpones construction sequencing that follows the preconstruction and guaranteed maximum price (GMP) process approved under Contract No. 2025-09.
o May result in construction cost escalation due to schedule delays, market conditions, or inflationary impacts.
o Increases the risk of continued deterioration of historic buildings.
Background Information
The following provides a chronological summary of recent actions related to the Warm Mineral Springs Park Building Renovations Project No. WM19BR:
Ø September 10, 2024: During the City Commission Regular Meeting, staff and a representative from Sweet Sparkman Architecture & Interiors presented Warm Mineral Springs Park Phase I cost estimates, reviewed insurance options, and provided potential next steps for Phase II improvements.
o A motion was made by Vice Mayor Stokes, seconded by Commissioner Langdon, to approve Option No. 2: Full restoration of admission building and a hybrid renovation of spa building to support current operations; maintaining historic designation; incorporating wet floodproofing measures; and preservation/mothballing of cyclorama until sufficient funding is available for restoration. The motion carried unanimously.
o A motion was made by Vice Mayor Stokes, seconded by Commissioner Emrich, to direct the City Manager to pursue running utilities up Ortiz Boulevard to US 41. The motion carried unanimously.
Ø February 25, 2025: Staff presented the Second Amendment to Agreement No. 2017-40, Professional Design and Engineering Services for Warm Mineral Springs Park Master Plan, to Kimley-Horn & Associates, Inc., in the amount of $781,852.00, plus a project contingency of 5% or $39,092.60 for a not to exceed amount of $820,944.60 to facilitate renovations of the historic buildings.
o This item was approved on the consent agenda.
Ø April 8, 2025: Staff presented Construction Manager at Risk Contract No. 2025-09 - Phase I, Preconstruction Services Contract, to Wharton Smith, Inc. in the amount not to exceed $283,662 for Project No. WM19BR, Warm Mineral Springs Park Historic Renovation, Floodproofing and Site Improvements.
o This item was approved on the consent agenda.
The proposed Phase II Amendment is intended to implement the next step in the CMAR delivery method following completion of Phase I preconstruction services and the GMP process. Phase II construction services include the elements authorized under Option #2 at the September 10, 2024, Commission meeting. As directed by the Commission, water and wastewater service to Warm Mineral Springs Park will be extended down Ortiz Boulevard and looped to US 41. This service line is designed to meet the needs of Warm Mineral Springs Park and will also provide future benefit, as properties along Ortiz Boulevard can be connected once they are annexed into the City.

The First Amendment to Construction Manager at Risk Contract No. 2025-09 for Construction Services Contract Phase II, with Wharton-Smith Inc. for Project No. WM19BR, Warm Mineral Springs Park Historic renovation, floodproofing and site improvements, located at 12200 San Servando Avenue, North Port, Florida, 34287 in the amount not to exceed $16,281,229.00 has been reviewed by the City Attorney and is legally correct as to form.
The First Amendment to Construction Manager at Risk Contract No. 2025-09 for Construction Services Contract Phase II was submitted to the City Clerk’s Office on June 15, 2026 for signature subject to City Commission approval.
