TITLE: Discussion and Possible Action Regarding the Warm Mineral Springs Development Group, LLC Public Private Partnership Detailed Proposal Related to the Warm Mineral Springs Master Plan Building Restorations/Improvements and Future Park Development.

Discussion and possible action regarding the Warm Mineral Springs Development Group, LLC Public Private Partnership (P3) detailed proposal related to the Warm Mineral Springs Park Master Plan Building Restorations/Improvements and future park development.
Background Information
The following provides a chronological order of events pertinent to the Public Private Partnership (P3) conceptual proposals related to the Warm Mineral Springs Park Master Plan Building Restorations/Improvements and future park development:
Ø September 12, 2022: During the City Commission Special Meeting, two unsolicited Public Private Partnership (P3) conceptual proposals related to the Warm Mineral Springs Park Master Plan Building Restorations/Improvements and future park development were presented for consideration. After discussion, the City Commission accepted the conceptual proposal submitted by Warm Mineral Springs Development Group, LLC for substantive review.
Pursuant to Section 2-420 (b) (6) of the Code of the City of North Port, Florida, (City Code), the City Manager conducted a preliminary assessment of the conceptual proposal and determined the following:
(a) The proposed project is a qualifying project.
(b) The proposed project delivery model offers advantages over traditional models.
(c) The proposed project is reasonably likely to satisfy the criteria established by the P3 statute.
Ø November 4, 2022: Warm Mineral Springs Development Group, LLC was informed of this assessment and the City’s intent to continue pursuit of the project under the P3 statute. As such, a request was made to Warm Mineral Springs Development Group, LLC to submit an unsolicited P3 detailed proposal along with the associated review fee.
Ø November 9, 2022: Warm Mineral Springs Development Group, LLC submitted an unsolicited P3 detailed proposal, and the required review fee as documented in the City Code, Appendix A - City Fee Structure, Section A, City-Wide Fees. A copy of the detailed proposal is attached for Commission review and preliminary determination as to whether it is a P3 qualifying project.
In accordance with City Code Section 2-420 (c) Unsolicited P3 detailed proposals, the proposal must contain information sufficient to inform the City about the detailed quality and character of the proposed P3 qualifying project; the detailed experience and capacity of the private entity and the detailed financial and implementation strategies to ensure successful project delivery.
Should City Commission provide a preliminary determination that the detailed proposal is a P3 qualifying project, the City Manager will then analyze whether the City will further pursue the proposal.

Procurement
Per City Code, the procurement of P3 Agreements by the City must follow the provisions of Section 2-420 Public-Private Partnerships (P3). The City has received the required P3 detailed proposal review fee from WMS Development Group LLC.
Within 120 business days of receipt, the City will provide notification of the decision to reject or accept the detailed proposal for competitive review. If the City decides to accept the proposal for competitive review, the City must advertise the potential opportunity and accept competing P3 detailed proposals. Within ten business days after the receipt of all competing P3 detailed proposals, the City Manager will designate a negotiation team to conduct negotiations concerning the P3 qualifying project. The negotiation team will rank the P3 detailed proposals in order of preference and forward rankings to the City Manager for approval. Upon City Manager approval, the negotiation team will commence negotiations with the private entity responsible for the top-ranked proposal and may recommend developing an agreement for City Commission consideration and approval.
